Oorbital Terms of Use

Last updated: 13 October 2026

1. About Oorbital and these Terms

OORBITAL AI LIMITED, a company incorporated in England under company number 17249767 ("Oorbital", "we", "us", "our"), provides the Oorbital web application at app.oorbital.ai, including the Oorbital Console, the Oorbi by Oorbital browser extension ("Oorbi"), and the associated software, websites, tools, integrations and supporting services that refer to these Terms (together, the "Services").

These Terms govern access to and use of the Services by personal users, Business Customers, authorised users and resellers, subject to any separate written agreement applicable to their use. Commercial arrangements are governed separately. These Terms do not appoint a reseller or grant distribution, sublicensing or white-label rights.

Contact: team@oorbital.ai
Business address: 1 Lancelot House, Hurcott Village, Kidderminster, Worcestershire DY10 3PG, United Kingdom.

2. Acceptance, eligibility and authority

By accepting these Terms during registration or another acceptance process, you agree to be bound by them. If you do not agree, you must not create an account or use the Services. You must be at least 18 years old and legally capable of entering into this agreement.

If you accept on behalf of an organisation, you confirm that you have authority to bind it. References to "you" and "your" include that organisation where appropriate. An employee's or contractor's access alone does not establish authority to bind an organisation or license its branding. Organisations must arrange acceptance by an authorised representative.

A "Business Customer" is a person or organisation using the Services for business, trade, professional or organisational purposes. A "Consumer" is an individual acting wholly or mainly outside their trade, business, craft or profession. Legal status depends on the circumstances, not an account label.

Authorised users must comply with the obligations governing their own access and conduct. A Business Customer's indemnities and commercial liabilities are not imposed on an employee solely because they use their employer's workspace.

3. Your licence to use the Services

Subject to these Terms and your applicable access rights, we grant you a limited, non-exclusive, non-transferable and non-sublicensable licence to access the Services for your personal purposes or your organisation's internal business purposes, install Oorbi on devices and browser profiles you are authorised to use, and use the integrations, automation and export functions we make available within their documented scope and your permissions.

Client-facing, managed-service, resale, distribution and white-label use requires our express written authorisation or an entitlement we expressly identify as permitting that use. Permitted use of Outputs is addressed in section 6.

The Services are licensed, not sold. No ownership of the Services or their underlying technology passes to you. Your licence continues only while you are entitled to access and comply with these Terms, subject to section 18.

4. Accounts, workspaces and organisational use

You must provide accurate registration information, keep it reasonably current, protect credentials and promptly notify us of suspected unauthorised access. Accounts are for their designated users. You must not share personal credentials or use shared accounts to circumvent user, workspace or access restrictions. Service accounts and integrations must use authorised methods and permissions.

Business Customers are responsible for authorising users, assigning appropriate roles, ensuring their users comply with these Terms, establishing lawful authority for information and actions, maintaining workspace settings, policies and delegated permissions, and removing access when authority ends.

Workspace owners and administrators may manage organisational accounts and access workspace information according to their roles, configuration and our Privacy Policy. Users should understand their organisation's policies before placing personal information in an organisational workspace.

We may rely on instructions received through authenticated accounts and configured permissions unless we have reason to doubt their authority. Organisational policies may continue to apply to an enrolled browser as described in the product disclosures and Privacy Policy; signing out does not necessarily end enrolment.

5. Resellers, agencies and client-facing use

Reseller, referral, agency or partner status exists only where expressly granted by us in writing. Purchasing access, introducing a customer, creating an account or possessing an installation package does not confer that status.

Unless expressly authorised, you must not:

  • Resell, rent, lease, sublicense, distribute or otherwise provide access to the Services to another person.
  • Bundle the Services into a product, managed service or service-bureau offering, or repackage, rebrand or white-label them.
  • Appoint sub-resellers, distributors or intermediaries, redistribute installation packages outside an authorised deployment, or distribute modified versions.
  • Operate shared master accounts or pool unrelated customers to circumvent access restrictions.
  • Claim to represent Oorbital, grant rights in our technology or branding, or make commitments on our behalf.

Where client-facing use is authorised, you must remain within its scope, maintain appropriate customer separation, obtain necessary permissions and ensure users receive and accept applicable terms. You must not make unauthorised claims about functionality, security, compliance, availability, results or warranties.

Your commitments to customers do not bind us unless we expressly accept them in writing. We do not assume your obligations to customers or responsibility for your additional services, configurations, representations or promises. No exclusivity, ownership of customer relationships or general agency authority is granted.

6. Customer Content and Outputs

"Customer Content" means instructions, prompts, conversations, files, page content, records and other materials you or your authorised users submit or make available through the Services. As between you and Oorbital, you retain your rights in Customer Content. You must have the rights, permissions and lawful basis required to provide it and instruct its processing.

You grant us a non-exclusive licence to host, reproduce, transmit, process and adapt Customer Content as necessary to provide the Services, carry out authorised instructions, maintain security, provide support and meet legal obligations, subject to our Privacy Policy and applicable data-processing terms.

"Outputs" are responses, documents, code, recommendations and other work products generated for you through the Services. Subject to third-party rights and applicable restrictions, you may use Outputs for lawful personal or business purposes, including incorporating them into your work products. This does not authorise resale of access or extraction of our proprietary technology.

To the extent we own transferable intellectual property rights in Outputs generated specifically for you, we assign those rights to you upon generation. Our software, reusable tools, templates, methods, documentation and pre-existing or independently developed materials are excluded. Where those materials are embedded in an Output, you receive a non-exclusive licence to use them as part of that Output for its intended purpose.

Outputs may not be unique, eligible for protection or free from third-party rights. Other users may receive similar results. You must assess whether an Output can lawfully and appropriately be used, published or distributed.

7. AI accuracy, reliance and delegated actions

AI systems are probabilistic and can make errors. Information and Outputs may be inaccurate, incomplete, misleading, biased, outdated or fabricated, even when presented confidently. Sources, calculations, classifications, code and recommendations may be incorrect. Do not rely on an Output as independently verified information.

You are responsible for independently checking material facts, sources, calculations and suitability before relying on Outputs, sharing them or taking action. Use review and supervision proportionate to the potential consequences. Assessments, scores, approval labels and validation results are decision-support information, not certifications or guarantees.

When you authorise an agent, workflow, schedule or integration, you instruct the Services to perform permitted actions within the scope you configure. Depending on that configuration, actions may occur without separate confirmation at every step. You must have authority over the relevant systems and actions, set appropriate permissions and limits, test workflows, supervise activity and revoke authority when appropriate.

Actions may send communications, disclose information, change records, publish material, execute code or create commitments in third-party systems. Some cannot be reversed. Stopping a workflow or disconnecting a service does not necessarily cancel actions already completed or submitted.

The Services do not guarantee a particular result or replace your judgement, professional advice or operational controls. Unless expressly agreed for a supported use, they do not provide legal, medical, financial, investment or other regulated professional advice.

8. Oorbi, detection limits and protection features

Oorbi operates within supported browsers and services using the permissions and functionality described in the product disclosures and Privacy Policy. Install and use it only where authorised and in compliance with applicable device, workplace and third-party rules.

No detection, redaction, policy, security or governance feature is infallible. Features may miss secrets, personal information, harmful instructions, attacks or policy violations, and may produce false alerts. A successful check, approval or absence of warning does not establish that information is safe to disclose or an action is lawful, secure or permitted.

Coverage depends on supported routes, permissions, configuration, browser and website behaviour, connectivity and other technical conditions. Changes to third-party interfaces or models may impair operation. We do not guarantee interception of every interaction, detection of every risk, or prevention of disclosure through unsupported routes, applications or devices.

You must review what you send, maintain appropriate independent security and confidentiality controls, and assess whether the Services are suitable for the sensitivity and consequences of your use. The Services supplement those controls; they are not a guarantee against data loss, disclosure, compromise or regulatory breach. Unless expressly agreed otherwise, they are not a comprehensive data-loss-prevention system, antivirus product or compliance certification.

You must not modify Oorbi to defeat access controls, policy enforcement, licence restrictions or reporting your organisation is lawfully entitled to configure. Business liability for reliance and protection failures is addressed in sections 19 and 20.

9. Third-party services and connections

The Services may interact with independently operated AI providers, websites, applications, browser stores, APIs and other services. Your use of them is subject to their terms and policies. Obtain the accounts, licences and permissions required for connections you choose.

An authorised integration or action instructs the transfer of information necessary for that action, subject to the Privacy Policy, applicable data-processing terms and source-specific restrictions.

Third parties may change functionality, terms, limits or availability, affecting or preventing an integration. We do not control independently operated third-party services or guarantee their continued availability, compatibility or performance. Inclusion does not imply endorsement or partnership. Responsibilities for providers acting on our behalf remain governed by applicable law and the relevant agreement.

10. Your responsibilities for data and use

You must ensure your use and instructions comply with applicable law, contractual obligations, confidentiality duties and third-party rights. Do not submit information you are prohibited from disclosing or processing. Sensitive or regulated information may be used only where you are authorised and the relevant configuration and agreement support it.

Business Customers must assess whether their use requires a data-protection impact assessment, employee consultation, notices, consent, professional supervision or other safeguards. Do not assume the Services satisfy a sector-specific certification, regulatory requirement, residency restriction or recordkeeping standard unless expressly agreed in writing for the relevant configuration.

Maintain independent copies and recovery arrangements for information you need to retain. Unless expressly agreed, the Services are not your sole archive, backup system or statutory system of record. You must take reasonable steps to prevent avoidable loss, including acting on warnings and correcting permissions or instructions you know are unsuitable.

11. Intellectual property, names and trademarks

We and our licensors retain all rights in the Services, including software, interfaces, designs, proprietary prompts, orchestration, policy systems, methods, documentation, reusable templates, branding and confidential know-how. Except as expressly licensed, you must not copy, modify, distribute, commercially exploit or create derivative works from those materials.

Oorbital, Oorbi, Oorbi by Oorbital, our logos, product names, trade names and other brand identifiers are marks of Oorbital or its licensors, whether registered or unregistered. No licence to use them is granted by account creation, installation, purchase or reseller status.

Without our prior written permission, you must not use our marks or confusingly similar branding in product names, domains, social-media handles, advertisements, distribution packages or business materials in a manner suggesting ownership, affiliation, endorsement or authorisation. Do not register or claim rights in our marks, remove proprietary notices, or present your offering as an official Oorbital offering. Lawful descriptive references and rights that cannot be restricted by law are unaffected.

You must not reconstruct non-public system instructions, extract proprietary datasets or reproduce protected implementation or confidential methods. We reserve copyright, database and other rights that subsist in our materials. Processing Customer Content does not transfer ownership of it to us.

Third-party and open-source components remain subject to their applicable licences. Rights granted under those licences are unaffected.

12. Prohibited activities

You must not use the Services to:

  • Break the law, infringe rights, commit fraud, distribute malware, conduct phishing or obtain access or credentials unlawfully.
  • Harass, exploit, impersonate or unlawfully monitor people, or generate or distribute unlawful, deceptive or infringing material.
  • Access another user's or customer's information without authority, or circumvent authentication, permissions, workspace boundaries, usage limits or suspension.
  • Probe or attack our systems without written authorisation, or interfere with service integrity or impose unreasonable operational loads.
  • Scrape, harvest or systematically extract proprietary materials outside authorised functionality.
  • Conduct model extraction, adversarial probing or prompt injection intended to obtain confidential information or bypass controls.
  • Use proprietary materials, confidential information or systematic extraction of Outputs to reproduce the Services or train a competing system.
  • Share accounts, conceal unauthorised users, evade restrictions, remove proprietary notices or misrepresent Outputs as certified or guaranteed.

Reverse engineering, decompilation and disassembly are prohibited except to the extent permitted by applicable law that cannot lawfully be excluded. Mandatory software rights, including qualifying observation, study, testing, decompilation and necessary backups, remain unaffected.

You must not deploy the Services in safety-critical uses, military targeting, unlawful surveillance or as the sole basis for decisions producing legal or similarly significant effects on individuals unless we expressly agree to support the particular lawful use and the required safeguards are in place.

These restrictions do not prohibit lawful independent development without misuse of our intellectual property or confidential information, protected reporting or truthful statements about your experience.

13. Confidentiality and enforcement

Each party must protect the other's non-public information identified as confidential or reasonably understood to be confidential. Our confidential information includes non-public technology, security information, proprietary methods, unreleased features and restricted demonstration, evaluation or support materials.

Use confidential information only for the relationship's purposes and disclose it only to people who need access and are subject to appropriate confidentiality obligations. These obligations exclude information demonstrably lawfully known, independently developed, lawfully received without restriction or public without breach. Legally required disclosure is permitted, limited to what is required, with advance notice where lawful and practicable. Protected disclosures and cooperation with regulators are unaffected.

Confidentiality obligations continue while information remains confidential. Personal data remains subject to applicable data-protection obligations.

Unauthorised copying, reverse engineering outside statutory exceptions, distribution, misuse of our marks, access-control circumvention or disclosure of confidential information may cause harm for which damages alone are inadequate. We may seek urgent interim and final injunctive relief, specific performance, delivery up or deletion of infringing copies, damages, an account of profits and recovery of legal costs, in each case where available under applicable law.

We may apply for protective relief in a court with appropriate jurisdiction without first completing informal negotiations. These remedies are cumulative where legally available; their grant remains subject to the court's powers and discretion.

14. Feedback and public contributions

For suggestions or feedback you voluntarily provide about the Services, you grant us a perpetual, worldwide, royalty-free licence to use and incorporate that feedback without payment or attribution. This does not authorise disclosure of confidential information or repurposing of Customer Content in breach of applicable privacy or data-processing terms.

If a feature permits public contributions, you are responsible for what you publish and must have the necessary rights. You grant us the rights reasonably necessary to host, display, format and distribute contributions through that feature. Private prompts, files and workspace content do not become public contributions merely because you submit them.

We may moderate or remove unlawful contributions or contributions that breach these Terms. Displaying user statements does not constitute endorsement. Reviews need not be positive.

15. Customer references, names and logos

By creating a business account and accepting these Terms on behalf of an organisation with the necessary authority, you grant Oorbital a non-exclusive, worldwide, royalty-free licence to use that organisation's name, trade name, trademarks, logo and domain name to identify it accurately as a customer or user of the Services, without separate approval for each use.

This includes our websites, customer lists, presentations, sales materials, social media, event materials, investor materials and other marketing communications. We may use assets you provide or publicly available versions and make proportionate formatting changes preserving their identity. You confirm your authority to grant this licence and must promptly tell us of relevant changes or restrictions.

We will not materially misrepresent the relationship, describe a free user as a paying customer, imply an endorsement not given, or disclose confidential information through this licence. Testimonials, attributed quotations and detailed case studies require separate approval.

The licence continues after account closure for accurate historical references, subject to withdrawal. Email team@oorbital.ai to request withdrawal. We will stop new uses and remove identifiers from actively maintained digital materials within 30 days of receiving and verifying the request. We need not recall printed materials already distributed or alter lawful archival records or copies outside our control, and will not deliberately redistribute withdrawn promotional material.

This does not license a Consumer's name, photograph or likeness for marketing. An employee's personal signup, use of a work email or submission of client information does not automatically license an employer's or client's brand. Identifiers will not be collected from private browser activity or connected-service content for this purpose.

16. Privacy and data protection

Our Privacy Policy explains how we handle personal data. Acceptance of these Terms is not blanket consent to processing. Where we process personal data on a Business Customer's behalf, an appropriate data-processing agreement must be in place where legally required; these Terms do not replace it.

Processing remains subject to applicable law, our Privacy Policy, relevant data-processing terms and source-specific restrictions, including applicable restrictions on extension and Google-derived data. We do not use Customer Content to train general-purpose AI models or authorise our processing providers to do so, as explained in the Privacy Policy. No licence in these Terms overrides those restrictions or permits the sale of Customer Content.

17. Availability, changes and experimental features

We may update features, integrations, technical requirements and operational limits for security, legal compliance, reliability, provider changes and product development. We do not promise uninterrupted or error-free operation, compatibility with every environment or continued availability of every feature. Specific service levels and support commitments apply only where separately agreed.

We will give reasonable advance notice of material reduction or discontinuation where practicable. Urgent legal, security or abuse-prevention changes may take effect immediately, subject to applicable contractual and statutory requirements.

Features identified as beta, preview or experimental may be incomplete, unstable, changed or withdrawn. Test them before consequential use and maintain suitable safeguards. No production-readiness or particular result is guaranteed by access to an experimental feature.

18. Suspension and termination

We may restrict or suspend affected access where reasonably necessary to address a material breach, protect users, data, systems or third-party rights, investigate credible suspected misuse or compromised credentials, comply with legal requirements, or enforce expiry or withdrawal of access rights.

Where appropriate, we will give notice and an opportunity to remedy a breach. We may act immediately where delay creates material risk, the breach cannot reasonably be remedied or notice is legally prohibited. We may terminate for serious or repeated breach, an unremedied material breach or where continued provision becomes unlawful. Other termination rights may apply under a separate agreement.

You may stop using the Services and request account closure. This does not automatically end a separate commercial agreement. On termination your affected access rights end; stop unauthorised use and remove software copies where your licence has ended, subject to mandatory rights.

Where lawful and reasonably practicable, we will provide a reasonable opportunity to retrieve Customer Content before deletion, unless access creates a security risk or breaches the law. Retention and deletion follow applicable privacy and data-processing terms. Termination does not reverse third-party actions or extinguish accrued rights. Provisions intended to continue, including confidentiality, intellectual property, liability, indemnities and dispute provisions, survive as applicable.

19. Business disclaimers and risk allocation

This section applies to Business Customers. Except as expressly agreed and to the extent permitted by law, the Services are provided on an "as is" and "as available" basis. We exclude implied conditions, warranties and other terms concerning satisfactory quality, fitness for a particular purpose and non-infringement to the extent they may lawfully be excluded.

We do not warrant that Outputs or supplied information will be accurate, complete, current, unique, secure or suitable for a particular purpose; that an AI action will execute successfully; that a protection feature will detect or prevent every disclosure, threat or policy violation; or that use will achieve particular savings, revenue, productivity, compliance or other results.

You acknowledge the inherent possibility of incorrect information, failed or unintended actions, false alerts and missed detections. A factual error, unsuccessful result or missed detection does not by itself establish breach of a guarantee of accuracy, successful execution or complete protection: no such guarantee is given.

Subject to section 20.1, we exclude liability to Business Customers for losses arising from reliance on unverified Outputs, treating a check or approval as a guarantee, or failure to maintain appropriate independent review, security and recovery controls, except to the extent the loss is caused by our breach of an express contractual obligation or failure to exercise reasonable care and skill. Any remaining liability is subject to section 20.

No demonstration, recommendation, assessment or general marketing statement creates an additional warranty unless expressly incorporated into an applicable agreement. These provisions do not override express contractual commitments or non-excludable liability.

20. Liability

20.1 Non-excludable liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability that cannot lawfully be excluded or limited. Mandatory consumer rights, data-subject rights and regulatory powers are unaffected.

20.2 Business Customers

Subject to section 20.1 and an overriding separate written agreement, we are not liable to Business Customers for loss of profit, revenue, business, contracts, anticipated savings or opportunity; loss of goodwill or reputation; loss or corruption of data; business interruption; or indirect or consequential loss. The exclusions for listed categories apply whether those losses are direct or indirect, to the extent permitted by law.

Our total aggregate liability arising out of or in connection with the Services and these Terms, whether in contract, tort including negligence, misrepresentation, breach of statutory duty or otherwise, is limited to the greater of £100 and the fees received by Oorbital attributable to your use of the affected Services during the 12 months immediately preceding the first event giving rise to the claims. This includes attributable fees received through an authorised reseller. Connected claims arising from substantially the same events are treated together. Multiple users, claims or legal grounds do not multiply the cap.

We are not responsible to the extent loss is caused by unlawful or unauthorised instructions, misuse, failure to follow reasonable security guidance, unauthorised modifications or commitments you make beyond our agreed obligations. The business exclusions and cap apply to claims concerning inaccurate information, AI errors, missed detections, data disclosure and protection failures as well as other service-related claims, subject to section 20.1 and applicable law.

20.3 Consumers

The Business Customer disclaimers, exclusions, cap and indemnity do not apply to Consumers. Consumers retain their legal rights to services performed with reasonable care and skill and, where applicable, digital content of satisfactory quality, fit for an agreed purpose and matching its description, together with applicable rights to repeat performance, repair, replacement, price reduction, refund or compensation for device or digital-content damage. These Terms do not remove those rights.

We are not liable to Consumers for loss that was not reasonably foreseeable when the contract was made, or loss caused by their breach of these Terms, except where applicable law provides otherwise.

20.4 Mitigation

Each party must take reasonable steps to reduce losses it becomes aware of. Neither party may recover more than once for the same loss.

21. Business Customer indemnity

Business Customers will indemnify Oorbital and its officers, employees and representatives against third-party claims, resulting liabilities and reasonable legal costs to the extent caused by infringing Customer Content; unlawful use or instructions; material breach of resale, distribution, confidentiality or intellectual property restrictions; unauthorised customer commitments; or failure to obtain permissions necessary for client-facing use or connected-system access.

This does not apply to the extent a claim results from our breach, negligence, fraud or other wrongdoing. Fines or penalties are covered only where lawfully recoverable. We will notify you promptly of relevant claims and take reasonable mitigation steps. You may control the defence using competent advisers reasonably acceptable to us, and we may participate at our expense.

You must not settle in a way admitting fault on our behalf or imposing obligations on us without written consent, not to be unreasonably withheld. If you fail to defend appropriately, we may take reasonable steps and recover costs covered by the indemnity. This section does not apply to Consumers.

22. Changes to these Terms

We may update these Terms to reflect changes in law, security requirements, the Services or operational arrangements, or to clarify wording. We will identify the updated version and give reasonable advance notice of material changes through the Services, email or another appropriate channel. Urgent legal or security changes may take effect sooner.

Where renewed acceptance is legally required, we will request it. Where lawful and clearly explained in the notice, continued use after the effective date constitutes acceptance. If you do not accept a change, you may stop using the affected Services, subject to existing rights and any separate agreement.

For Consumers, changes must have a valid reason, operate fairly and preserve any legally required right to end the affected agreement and obtain an applicable remedy.

23. Governing law and disputes

These Terms and related non-contractual obligations are governed by the law of England and Wales. For Business Customers, the courts of England and Wales have exclusive jurisdiction, except that Oorbital may seek urgent protective or injunctive relief in another court with appropriate jurisdiction.

For Consumers, this choice does not remove mandatory protections under the law of their habitual residence or rights to bring proceedings in courts available under applicable consumer law, including Scotland or Northern Ireland where relevant.

Contact team@oorbital.ai about complaints or disputes. Informal resolution does not prevent urgent relief, proceedings or regulatory complaints.

24. General provisions

A separate written agreement expressly applicable to your use takes precedence to the extent of conflict. Applicable data-processing terms take precedence for the processing they govern. Source-specific data restrictions remain applicable.

For Business Customers, these Terms and applicable agreements constitute the agreement on their subject matter and replace prior discussions on it. Nothing excludes fraud or a representation or obligation that cannot lawfully be excluded. Consumers retain rights concerning binding pre-contract information.

You may not transfer your account or contractual rights without written consent except where applicable law permits. We may transfer this agreement as part of a lawful business transfer or restructuring, without reducing contractual protections. Personal-data transfers remain subject to applicable privacy terms, law and required consents.

Neither party is responsible for delay or failure caused by events beyond its reasonable control to the extent they prevent performance and reasonable mitigation is undertaken. Mandatory rights remain unaffected.

An unenforceable provision will be severed to the extent legally possible without affecting the remainder. A delay in enforcement is not a waiver. No partnership, employment, franchise or general agency relationship is created. Except for persons expressly protected by section 21, no third party acquires contractual enforcement rights.

Service notices may be provided electronically through account contact details or the Services where legally appropriate. This does not constitute consent to unrelated marketing.
